Summary
In June 2023, as part of the
corporate restructuring of Ten Sixty Four Ltd (X64) I was appointed as a member
of the Board of Directors of CQ22 Pty Ltd, a 100% owned subsidiary of X64, CQ22
has mineral exploration tenements in Central Queensland, Australia.
The Position
Performs:

Establishing the company's strategic direction
and priorities. |

Contribute to the corporate strategic vision
to which plan and direct the company's exploration activities. |
|
Observing the external operating environment
to ensure the company's strategic direction remains both appropriate and
achievable. |
|
Monitoring the company's performance and
evaluating the achievement of the strategic and business plans and annual
budget outcomes. |
|
Establishing the policy framework for
governing the organisation from which all operational policies and actions
are developed. |
|
Ensuring the company has appropriate corporate
governance structures in place including standards of ethical behaviour and
promoting a culture of corporate and social responsibility. |
|
Appointing, setting targets in order to
evaluate the performance of and reward as appropriate. |
|
Monitoring the organisational compliance with
the relevant federal, state and local legislation and bylaws, and with the
organisation's own policies. |
|
Providing advice and guidance to the MD/CEO as
required. |
|
Assessing risks facing the organisation,
establishing a risk management plan and monitoring compliance. |
|
Evaluating the effectiveness as a board.
